Darryl is a partner in Jackson Russell’s Business Law team.  His areas of legal speciality are mergers and acquisitions, franchising, securities, and general corporate and commercial law.

Darryl has over 20 years' experience of advising on, structuring and negotiating commercial transactions across a range of industry sectors.  He specialises in contract negotiations, franchising, mergers and acquisitions, derivatives and securities, and general corporate and commercial law.  Darryl is focused on providing effective commercial solutions in a New Zealand and international business environment.

Darryl works with companies across a range of sectors, including food and beverage, retail, manufacturing, derivatives, business services and import/export sectors.  His clients range from privately-held and family-owned business and investors through to subsidiaries of NZX listed companies, private equity owned companies and subsidiaries of multi-national companies.  His international experience includes working in the London office of leading global law firm Allen & Overy.

Darryl leads Jackson Russell’s franchise law team that helps established franchisors and businesses looking to franchise their business. Darryl is an active member of the Franchise Association of New Zealand. He is a member of both FANZ’s Board and FANZ’s Legislation and Government Liaison committees.  
Darryl’s expertise includes:
  • Assisting franchisors with their franchise systems, franchisees and day to day legal issues
  • Guiding companies through the purchase or sale of businesses and companies, including acting as New Zealand counsel on multi-national transactions
  • Negotiating a broad range of domestic and cross-border manufacturing and supply contracts
  • Advising overseas investors doing business or investing in New Zealand, and advising on structuring investment vehicles and obtaining regulatory approvals for foreign investment
  • Helping to establish new businesses and structuring new equity investment and debt funding
  • Helping companies with their day to day business legal issues and legal compliance
  • Advising on compliance with New Zealand securities laws
  • Facilitating the resolution of commercial and shareholder disputes
  • Providing a sounding board and guidance to management and owners for special projects and strategic commercial transactions
Previous projects have included advising:
  • An NZX listed franchisor on its franchising and general business matters.
  • On the sale of a leading Australasian foreign exchange/currency services company as part of a sale of the Australasian and English group to a Nasdaq listed purchaser.
  • A privately-held meat retailer on the sale and (as promoter) “back-door” listing of its business on the NZX main board.
  • A high growth tech start-up on the establishment and growth of the company and its ongoing funding needs.  
  • An investor on his acquisition of a majority shareholding in a premium grocery retailer, and advising the retailer on a range of day-to-day legal issues.
  • A private equity owned manufacturer on a number of long term supply contracts, two business acquisitions and a range of day to day legal issues.
  • A privately-held plastics company on its contract manufacturing agreement with a Thai manufacturer.
  • A New Zealand business services franchisor on its expansion into Australia.
  • A privately-held food manufacturer and exporter on its distribution agreement with a Chinese distributor.
  • A privately-held FMCG agent on its distribution agreement with an Australian food company.
  • A privately-held food manufacturer on the acquisition of a food manufacturing business and on a proposed joint venture with one of the vendors.
  • A leading Australasian derivatives issuer on the regulatory issues arising from the changes to New Zealand Financial Markets laws.
  • A shareholder in a privately-held company on a dispute with his co-shareholders and his exit from the business.
Darryl has a law degree (with honours) and a commerce degree from the University of Canterbury. In his spare time he enjoys trail running (including ultramarathons), mountain biking and spending quality time with his wife and children.
